    12. Binding arbitration and class-action waiver

    Except for small-claims matters and claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to the Site or these Terms shall be resolved by final and binding individual arbitration administered under the Commercial Arbitration Rules of the American Arbitration Association, seated in California. You and we waive any right to a jury trial and agree that claims may be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) shall be severed and brought in court, while all other claims remain in arbitration.     13. Governing law

    These Terms are governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-laws principles. Subject to Section 12, you agree that any dispute shall be brought exclusively in the state or federal courts located in California, and you consent to their jurisdiction, except where prohibited by law. Any claim arising out of or relating to the Site must be commenced within one (1) year after the cause of action accrues; otherwise, it is permanently barred.
